Technology
Advised a Microsoft Gold Partner for the Dynamics 365 customer relationship management applications on master services agreement for the client’s provision of services in line with the agile principles, and proposed extensive amends to a draft subscription agreement originally governed by New York law to achieve its effective transposition into English law.
Advised a London-based design studio specialising in XR and AI, as well as in the production of immersive experiences, games and apps, on core consumer-facing contracts, including service terms, acceptable policies, and privacy policy, and advised the client in relation to their implementation, ensuring that they appropriately address potential risks arising in connection with emerging technologies, including AI and AR/VR.
Prepared core customer-facing contracts, including the terms of use for a provider of workflow automation software for the legal sector comprising certain artificial intelligence solutions, and advised the client on their implementation.
Advised a client operating an augmented reality platform and developing 3D content in the form of non-fungible tokens for the platform on the client’s general terms and conditions and privacy policy.
Prepared a suite of standard contracts for the client’s current and future business operations, including a brokerage and affiliate agreements for a provider of an alternative app monetization solution, and advised the client in relation to third-party collaboration agreements.
Contracts
Advised a Microsoft Gold Partner for the Dynamics 365 customer relationship management applications on master services agreement for the client’s provision of services in line with the agile principles, and proposed extensive amends to a draft subscription agreement originally governed by New York law to achieve its effective transposition into English law.
Participated in preparing a suite of documents (including a general terms-style service agreement at the center) for a client providing blockchain-based platform services to fund industry clients.
Advised a world-renowned designer and manufacturer of flexible, glass-free electrophoretic displays (licensee) in relation to termination of exclusive patent licence due to the outbreak of the Ukraine conflict. Prepared an assessment and general overview of available remedies possibly claimed from the client’s supplier and customer who have allegedly breached provisions of various collaboration agreements, including exclusivity, confidentiality and non-competition provisions.
Involved in advising major London-based film studios operator on structuring and drafting its customer-facing contracts, taking into account range of client’s service offerings.
Regularly advised an international print, motion and event production company on commercial agreements with its creatives, whilst observing contractual arrangements with its well-known clients.
Intellectual Property
Advised a client operating an augmented reality platform and developing 3D content in the form of non-fungible tokens for the platform on their ability to create 3D avatars based on certain existing 2D copyright works, as well as on the client’s IP assignment and licence agreement.
Advised a world-renowned designer and manufacturer of flexible, glass-free electrophoretic displays (licensee) in relation to termination of exclusive patent licence due to the outbreak of the Ukraine conflict. Prepared an assessment and general overview of available remedies possibly claimed from the client’s supplier and customer who have allegedly breached provisions of various collaboration agreements, including exclusivity, confidentiality and non-competition provisions.
Participated in advising global tech companies as well as fashion and footwear retailers on the protection and enforcement of intellectual property rights, and on IP strategy. Prepared registration applications and opposition submissions.
Participated in advising a leading manufacturer of scooters on the global protection and enforcement of its intellectual property rights, and in recommending the appropriate forms of IP protection with respect to its business plans.
Participated in advising a boutique hotel on IP infringement proceedings threatened by a competitor due to alleged similarity of trade names. Assisted the client in negotiations and implementation of the new name and visual style.
Personal Data Protection
Participated in advising the engineer and manufacturer of humanoid Sophia on personal data protection, recommending a strategy to ensure the client’s compliance with the General Data Protection Regulation.
Act as the data protection officer for a provider of an online platform providing tools that streamline client onboarding. Regularly assist the client in preparing and reviewing its personal data protection documents and policies ensuring compliance with the applicable data protection rules.
Participated in advising a regional internet registry on GDPR compliance and anonymisation of publicly accessible records.
Business Law
Participated in advising founders on a £25.6m auction sale of their business to a foreign bidder, involved in the due diligence process and assisted in preparing transaction documents.
Regularly participated in advising clients on intra-group reorganisations and involved in preparing transaction documents (including board minutes, written resolutions and ancillary documents) for various stages of such transactions (incl. dealing with share option schemes, distribution of profits, demergers, and post-completion matters and filings).
Participated in advising clients on unapproved and EMI share option schemes, including adopting such schemes, additional grants of options and rollovers.
Regularly assisted clients in company secretarial matters, including incorporations, name changes, appointing and removing officers, as well as dissolutions.
